These Terms of Use govern your access to and use of the Personality Institute platform. Please read them carefully before using our assessments, purchasing reports, or subscribing to a license. By using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Personality Institute ("Personality Institute," "we," "us," or "our"), governing your access to and use of the Platform located at personality.institute and all associated products, services, and content (collectively, the "Platform").

BY ACCESSING OR USING THE PLATFORM, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include both you individually and the organization.

2. Eligibility

You must be at least 13 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement. Users under the age of 18 must have parental or guardian consent.

Certain features — including practitioner licensing and organizational subscriptions — are intended for adult professionals in coaching, consulting, human resources, or organizational development. By subscribing to these features, you represent that you are at least 18 years of age.

The Platform is available to users in the United States, Canada, the United Kingdom, Australia, and other jurisdictions where we offer services. By using the Platform from outside the United States, you confirm that your use complies with the laws of your local jurisdiction.

3. Account Registration and Security

Certain features of the Platform require you to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the security and confidentiality of your account credentials.
  • Notify us immediately at legal@personality.institute if you suspect unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if any information you have provided is inaccurate or if you have violated these Terms. You may not create more than one individual account or share credentials with others, except as expressly permitted under a practitioner or organizational license.

4. Description of Services

4.1 Free Assessments

Registered users may access abbreviated versions of core personality assessments at no charge. Email capture is required for results delivery. Free assessments are provided for personal, educational, and professional awareness purposes only and do not constitute clinical, psychological, or diagnostic evaluations.

4.2 Premium Individual Reports

Users may purchase comprehensive assessment reports delivered digitally following payment confirmation. Premium reports are licensed for the purchaser's personal and professional use, subject to the restrictions in Section 8.

4.3 Practitioner Licensing

Coaches, consultants, therapists, HR professionals, and other qualified practitioners may subscribe to a practitioner license that provides access to bulk report credits, debrief facilitation guides, and client management tools. Practitioner licenses are offered on a monthly or annual subscription basis. Additional terms are described in Section 9.

4.4 Organizational Subscriptions

Organizations may subscribe to enterprise plans that include team assessment administration, manager dashboards, usage reporting, and multi-user access. Organizational subscriptions are governed by these Terms and any applicable Order Form or Enterprise Agreement.

4.5 Service Availability

We endeavor to provide continuous Platform access but do not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue any feature at any time, with or without notice, and will not be liable for service disruptions due to maintenance, technical failures, or circumstances beyond our control.

5. Subscriptions, Billing, and Payments

5.1 Pricing

Current pricing is listed on the Platform. We reserve the right to change pricing at any time. Price changes for existing subscribers will be communicated at least 30 days in advance. Continued use of a subscription following a price change constitutes acceptance of the new pricing.

5.2 Billing Cycles

Subscriptions are billed on a recurring basis (monthly or annually, as selected at checkout) and automatically renew unless canceled before the renewal date. You authorize us to charge your payment method on file for each renewal.

5.3 Payment Processing

All payments are processed by a third-party payment processor. By providing payment information, you authorize us and our processor to charge applicable fees to your payment method. We do not store full payment card details on our servers.

5.4 Refund Policy

Premium individual reports are non-refundable once generated and delivered, as the digital content is immediately accessible. If a technical error prevents delivery, contact us within 14 days at legal@personality.institute and we will issue a credit or re-generate your report.

Practitioner and organizational subscriptions may be canceled at any time, taking effect at the end of the current billing cycle. No partial-period refunds are issued for unused time, except where required by applicable law. Annual subscriptions canceled within 30 days of purchase and before any practitioner-only features have been used may be eligible for a pro-rated refund at our sole discretion.

Refund requests outside these policies may be submitted to legal@personality.institute and will be reviewed case by case.

5.5 Taxes

You are responsible for all applicable taxes associated with your purchase. Where required by law, we will collect and remit applicable sales tax. Taxes, where applicable, will be calculated and presented at checkout.

6. Assessment Use and Important Limitations

Personality Institute assessments are psychometric tools designed for personal awareness, professional development, coaching, and organizational applications. By using the assessments, you acknowledge and agree to the following:

  • Assessments are not psychological tests, clinical diagnoses, or medical evaluations. Results do not constitute a clinical opinion, psychiatric evaluation, or mental health assessment.
  • Assessments are not designed or validated for use in employment selection, hiring, promotions, terminations, credit decisions, insurance underwriting, or any other legally regulated purpose without separate expert validation for that specific use case.
  • Assessment results reflect self-reported data and are subject to the inherent limitations of self-report instruments, including response bias. Results should be interpreted as one source of information among many — not as definitive or immutable characterizations of personality.
  • Practitioner users agree to apply assessment results in accordance with applicable professional ethical guidelines, including those of the ICF, SHRM, and APA as relevant to their practice.
  • Personality Institute makes no warranty that assessment results will accurately predict performance, behavior, satisfaction, or any other outcome.

7. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You expressly agree that you will not:

  • Use the Platform in any way that violates applicable federal, state, local, or international law or regulation.
  • Impersonate any person or entity, or falsely state your affiliation with any person or entity.
  • Use another user's account or credentials without authorization.
  • Attempt to gain unauthorized access to any portion of the Platform, other accounts, or networks connected to the Platform.
  • Introduce viruses, malware, spyware, or other malicious code into the Platform.
  • Scrape, crawl, or use automated tools to extract data or content from the Platform without our express written consent.
  • Reverse engineer, decompile, or attempt to extract the source code of any Platform software or assessment algorithms.
  • Use assessment results to discriminate unlawfully against any individual on the basis of any protected characteristic.
  • Resell, redistribute, or commercially exploit assessment reports or Platform content without an active practitioner or organizational license.
  • Use the Platform to collect personally identifiable information about other users without authorization.
  • Attempt to probe, scan, or test the vulnerability of any Platform system or network.

We reserve the right to investigate violations of this policy and take appropriate legal action, including reporting to law enforcement, terminating your account, and seeking damages to the fullest extent permitted by law.

8. Intellectual Property

8.1 Our Intellectual Property

The Platform and all content, features, and functionality — including assessment instruments, scoring algorithms, report templates, facilitation guides, text, graphics, logos, and software — are and will remain the exclusive property of Personality Institute and its licensors, protected by copyright, trademark, trade secret, and other applicable laws.

8.2 License to You

Subject to your compliance with these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and delivered content as follows:

  • Individual users: personal and professional awareness, coaching, and development use only.
  • Practitioner licensees: use with clients in the context of coaching, consulting, facilitation, and professional development engagements, subject to the applicable license tier.
  • Organizational subscribers: use within the subscribing organization for internal HR, L&D, and team development purposes.

This license does not include the right to reproduce, distribute, modify, create derivative works from, or commercially exploit any Platform content or assessment materials beyond the uses expressly described above.

8.3 Your Content

You retain ownership of any content you submit to the Platform, including assessment responses and profile information. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display that content for the purposes of operating the Platform and improving our services, as described in our Privacy Policy.

9. Practitioner Licensing — Additional Terms

9.1 Authorized Use

A practitioner license authorizes the licensee to use Personality Institute assessments and reports as professional tools in client-facing coaching, consulting, facilitation, and development engagements. Each license tier specifies the number of report credits, white-label rights (if any), and authorized seats.

9.2 Prohibited Uses

Practitioner licensees may not:

  • Share, sublicense, or transfer license credentials or report credits to third parties outside the licensed account.
  • Represent themselves as Personality Institute employees, partners, or authorized resellers unless a separate reseller agreement is in place.
  • Use assessment materials in a manner inconsistent with professional ethical standards applicable to their discipline.
  • Use the Platform for client engagements involving legally regulated personnel decisions without appropriate validation and expert oversight.

9.3 Professional Responsibility

Practitioner licensees assume full professional responsibility for how they use, interpret, and communicate assessment results with clients. Personality Institute provides assessment tools and supporting materials; it does not supervise or assume liability for individual coaching or consulting engagements. Practitioners should ensure they are qualified to use psychometric instruments in their professional practice.

10. Disclaimers

THE PLATFORM AND ALL CONTENT, ASSESSMENTS, REPORTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PERSONALITY INSTITUTE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AS WELL AS WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ASSESSMENT RESULTS WILL PREDICT ANY PARTICULAR OUTCOME.

Some jurisdictions do not allow the exclusion of implied warranties. To the extent such warranties cannot be disclaimed, they are limited to the minimum extent required by applicable law.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERSONALITY INSTITUTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

Our total cumulative liability arising out of or related to these Terms or your use of the Platform shall not exceed the greater of (a) the total fees paid by you to Personality Institute in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00 USD).

12. Indemnification

You agree to defend, indemnify, and hold harmless Personality Institute and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your use or misuse of the Platform or assessment results.
  • Any content you submit to the Platform.
  • Your violation of any third party's rights, including intellectual property rights.
  • Any professional engagements or decisions you make using Platform content or assessments.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at legal@personality.institute or using the account management features on the Platform. Termination does not entitle you to a refund of any fees paid, except as described in Section 5.4.

13.2 Termination by Us

We may suspend or terminate your access to the Platform at our sole discretion, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or violates applicable law.

13.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and any dispute arising out of or relating to them or your use of the Platform will be governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us at legal@personality.institute to attempt informal resolution. We will make reasonable efforts to resolve disputes through good-faith negotiation within 30 days of receiving written notice.

14.3 Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individual users) or Commercial Arbitration Rules (for practitioner and organizational users). Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent intellectual property infringement or unauthorized use of the Platform.

Arbitration will be conducted on an individual basis. You waive your right to participate in a class action lawsuit or class-wide arbitration.

14.4 Venue

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Philadelphia County, Pennsylvania.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will post the updated Terms with a revised effective date. For subscribers, we will also send notice by email at least 14 days before material changes take effect.

Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and, if applicable, cancel your subscription.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Order Form or Enterprise Agreement, constitute the entire agreement between you and Personality Institute regarding your use of the Platform.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver must be in writing and signed by an authorized representative of Personality Institute.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, internet outages, governmental actions, or third-party service failures.
